Real Estate Development
We represent individual and institutional developers, investors, and end-users in a wide variety of sophisticated commercial development projects. We regularly assist clients with drafting and negotiating all types of corporate governance documents, partnership agreements, limited liability company agreements, and shareholder agreements.
Joint Ventures and Equity Capitalization
The firm has extensive experience advising both service and capital providers in real estate joint ventures. We advise start-up and established clients in connection with the negotiation and drafting of joint venture agreements and other operating agreements. On an on-going basis, we assist clients with structuring capital in real estate transactions of all types.
We represent both commercial landlords and tenants in the drafting and negotiation of all types of leases, including ground leases, office leases, retail leases, industrial leases, build-to-suit leases, and leases for mixed-use developments. We have extensive experience negotiating complex leases, from both the landlord and tenant perspective, for large national and regional users of real estate, ranging from retail anchors to medical and tech companies.

We represent utility-scale wind, biomass, and solar power project developers in all real property-related aspects of project development and financing; including site acquisition, tax abatement negotiations, power purchase agreements, and transmission easements.
We represent a number of large and small mining companies, as well as individuals who have leased their property for mining, in Texas and throughout the country.
Our lawyers were involved with the first unit train shipments in Texas and since then have continually assisted clients with rail matters, including the creation of rail distribution centers.
